The domain name, Website and the App are owned, registered and operated, by Noon Tech Limited, a private company incorporated under the applicable laws of the United Kingdom either directly or indirectly through its affiliates or holding company (hereinafter referred to as "Noon – The Social Learning Platform" or "Noon" or "us" or "we" or "our" or "Company" as the context may permit).
Please read these terms and conditions carefully, since these terms and conditions are between Noon and you (hereinafter referred to as "Educator" or "you" or "your") and contain the terms and conditions of your participation as an Educator via Noon - The Social Learning Platform, which includes all aspects of the Website and App including but not limited to products, software and online services offered via the Noon Platform.
By using the Noon Platform or any Noon software, data fees, you signify your agreement to and to be bound by these terms and conditions and Noon's Privacy Policy, as updated from time to time by Noon. If you do not agree with these terms, you should abstain from using the Noon Platform.
The following terms used throughout these Terms and Conditions shall have the meanings ascribed to them below, unless the context otherwise requires.
These Terms constitute a legally binding agreement between you and Noon governing your use of the Noon Platform and the Services provided through it.
The Educator acknowledges that the relationship between the Educator and Noon is that of an independent contractor and nothing in these Terms shall be construed to create an employer-employee, partnership, joint venture or agency relationship.
Use of the Noon Platform requires the provision of certain information. By providing such information, you represent and warrant that all information submitted is accurate, complete and current.
As an Educator, you are responsible for all the Submitted Content and Courses that you deliver through the Noon - The Social Learning Platform.

Of the total sessions conducted by you, at least 30% shall be delivered as free sessions in a public group to promote the group/course and the Noon Platform, as determined by Noon. Noon shall be the sole determining authority as to whether a group is deemed to form a "public group" or not.
For the purposes of this sub clause, the term "free sessions" shall include but not be limited to one or more of the following:
All intellectual property rights in the Noon Platform and the materials available through it are owned by Noon or its licensors. The Educator retains rights in their own Submitted Content but grants Noon a license to use such content as set out in these Terms.
Noon will provide receipts for payments made through the platform in accordance with applicable laws and regulations.
Payments to Educators shall be made on the schedule and according to the terms set out in the applicable Statement of Work, subject to deductions, taxes, and any applicable refund obligations.
Educators are responsible for the payment of all taxes applicable to the income they receive through the platform in their respective jurisdictions.
The Educator shall keep confidential all information obtained from Noon during the course of providing services and shall not disclose such information to third parties without prior written consent.
These Terms shall remain in effect from the date you accept them until terminated in accordance with the provisions set out herein.
Educators shall maintain accurate accounts and records relating to their services provided through the Noon Platform.
Neither party shall be liable for any failure or delay in performance under these Terms which is due to causes beyond reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
Noon may terminate these Terms at any time with notice if the Educator breaches any of their obligations. The Educator may also terminate the relationship as set out in the applicable Statement of Work.
Failure to comply with these Terms or with any Statement of Work may result in penalties, including financial penalties, deductions from payments, or termination of the relationship.
The Educator shall indemnify and hold Noon harmless from any claims, damages, losses, or expenses arising out of the Educator's breach of these Terms or any Submitted Content.
The Educator warrants that they have the necessary rights, qualifications, and authority to provide the services and Submitted Content under these Terms.
Noon reserves the right to modify these Terms at any time. Any modifications shall be effective upon being posted on the Noon Platform. Continued use of the platform after such modifications constitutes acceptance of the modified Terms.
By using the Noon Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and any modifications thereto.
Any notice required to be given under these Terms shall be in writing and shall be sent to the addresses provided by the parties or as updated from time to time.
To the maximum extent permitted by applicable law, Noon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of the Noon Platform.
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Users are allowed to access the Platform, join groups, and avail services available with Noon Academy as a guest and without creating an account on the Platform or providing any Personal Information. Noon Academy takes no responsibility for or validates the information provided by the guest, except as otherwise required under any law, regulation or an order of competent authority.
In order to have access to all the features and benefits on our Platform, a User is required to first create an account on our Platform. To create an account, a User is required to provide Personal Information as may be required during the time of registration. Other information requested on the registration page, including the ability to receive promotional offers from Noon Academy, is optional.
Noon Academy may, in future, include other optional requests for information from the User to help Noon Academy customize the Platform to deliver personalized information to the User. Without User's agreement, Noon Academy will not share, rent or sell any Personal Information with third parties in any way other than what is disclosed in this Policy. Noon Academy may keep records of telephone calls received and made for making enquiries, registered courses, feedback or other purposes for the purpose of rendering services effectively and efficiently.
"Personal Information" shall mean the information which identifies the User: name, identification number, email address, age, phone number, password or any financial account information provided to Noon Academy at the time of registration or any time thereafter.
Our system collects information that is sent over the internet without your control. Some examples of the information we collect and analyse include the Internet protocol (IP) address used to connect your computer to the internet; login; email; password; computer and connection information such as browser type and version, operating system, and platform; groups enrolled history, which we sometimes aggregate with similar information from other users to create features, reports such as popular courses, most used features etc.; the full Uniform Resource Locator (URL) click stream to and from our Platform, including date and time; cookie number; courses or videos you viewed or searched for; the email id you used to call our customer service.
During some visits we may use software tools such as JavaScript to measure and collect session information, including page response times, download errors, length of visits to certain pages, courses and videos, page interaction information (such as scrolling, clicks and mouse overs), and methods used to browse away from the page.
To protect the security of your Personal Information during transmission, we use Secure Sockets Layer (SSL) software, which encrypts information you input. To prevent unauthorized access to sensitive information, it is important for you to monitor those who have access to your password and to your computer, laptop or any other device through which your account can be accessed. Be sure to sign off when finished while using a shared computer.
While availing our services you will provide access to Noon Academy with your Personal Information. If that information is wrong, you can request us to modify or delete the same. Noon Academy will take all reasonable measures to ensure that the Personal Information is modified and used for rendering services to you and as otherwise in compliance with laws.
When editing or deleting Personal Information, we may ask you to verify your identity before we can act on your request. Noon Academy may at its discretion reject any request that is contrary to law, requires unreasonable technical efforts. We do not assure that we will delete all residual copies and archives made by any third party without our knowledge and consent.
Noon Academy shall use your Personal Information to communicate with you. The said communication can be via email. If at any time you wish to not receive any communication from our end you can opt-out of the same by writing to us at support@noonacademy.com.
Your Personal Information may be shared with third parties who have a need or authority to receive such information, if we have a good-faith belief that access, use, preservation or disclosure of the information is reasonably necessary to comply with: (i) any authority having to receive such information under law; (ii) any order of court; (iii) detect, prevent, or otherwise address fraud, security or technical issues; (iv) protect against harm to the rights, property or safety of Noon Academy, our users or the public as required or permitted by law.
Noon Academy does not make any unsolicited calls or otherwise market any products or services, except for in relation to the purpose for which such information has been provided or taking any feedback, addressing any complaints, informing you about new features or free/paid courses. Users shall not disclose their Personal Information to any third parties not authorised by Noon Academy and should verify the identity of any person who seeks information.
Noon Academy will communicate with the Users through call, SMS, email or notices posted on the Platform or through any other means available, which shall include but not be limited to text, other forms of messaging, calls etc. Users can change their email and contact preferences at any time by logging into their account or by emailing at support@noonacademy.com.
Noon Academy may, if you so choose, send direct mailers to you at the address given by you. You have the option to 'opt-out' of this direct mailer by way of links provided at the bottom of each mailer. We respect your privacy and to the extent that you choose not to receive such mailers, we will take all steps to remove you from the list. Should you evidence any violation of our terms and policies, please write to us at support@noonacademy.com and report such incident.
All the information provided to Noon Academy by you, you as a User confirms that the same including sensitive Personal Information, is true, accurate and voluntary. The User has the right to withdraw information at any time, in accordance with the terms of this Policy and the Terms of Service.
Noon Academy may have to use Personal Information without reference to any persona or identity for research, statistical analysis and business intelligence purposes and may transfer such research, statistical or intelligence data in an aggregated or non-personally identifiable form to third parties and affiliates. All Noon Academy employees and data processors who have access to and are associated with the processing of sensitive personal data or information are obliged to respect the confidentiality of every User's sensitive personal data and information.
Noon Academy may also disclose or transfer User's personal and other information which a User provides, to another third party as part of reorganization or a sale of the assets of a Noon Academy corporation division or company. Any third party to which Noon Academy transfers or sells its assets will have the right to continue to use the personal and other information that a User provides to us.
To the extent necessary to provide Users with the services on the Platform, Noon Academy may provide User's Personal Information to third party contractors who work on behalf of or with Noon Academy to provide Users with such services, to help Noon Academy communicate with Users or to maintain the Platform. Generally, these contractors do not have any independent right to share this information; however, certain contractors who provide services on the Platform, including the providers of online communications services and online payment gateway services, will have rights to use and disclose the Personal Information collected in connection with the provision of these services in accordance with their own privacy policies.
Noon Academy may update or amend this Policy at any time, with or without advance notice. In the event there are significant changes in the way Noon Academy treats User's personally identifiable information, Noon Academy will display a notice on the Platform or send Users an email. Noon Academy's current Policy applies to all information that Noon Academy has about Users and their account. Notwithstanding the above, Noon Academy shall not be required to notify the Users of any changes made to the privacy policy.

Our refund policy for students and teachers using the Noon platform.
The student has the right to a full refund of the subscription amount until the first day of the in-person course. The refund request will be processed and the student will be contacted within 15 days from the date of the request. If the refund is requested after the second day of the course, only 40% of the subscription amount will be refunded.

If the refund is requested after 7 days from the date of payment, we apologize for not returning the amount, but the student can cancel the subscription with access to all subscription content until the end of the student's subscription period.
Noon heavily invests in the promotion of teachers & courses and runs paid campaigns to acquire students. Refund requests from buyers impact Noon's brand negatively much more than they cause financial dearness.
